Sam is a Solicitor in the Corporate and Commercial team.

Sam joined Ramsdens in 2018 having completed his Law degree at Oxford Brookes University in 2017 and his LPC LLM at the University of Law in Leeds in 2018. In 2020 Sam commenced his training contract with the firm before qualifying in September 2022.

Sam specialises in acquisitions and disposals of both shares and assets, management buy-outs and buy-ins, shareholder agreements and company reorganisations. Sam acts for clients ranging from sole traders to owner-managed limited companies with multi-million-pound turnover.

What are your career highlights so far?

• "I advised the Company and its shareholders (including the Trustees of a Discretionary Settlement who hold the only shares with voting rights) on the implementation of a capital reduction demerger designed to create three separate investment companies together funded to a sum of £40 million for the beneficiaries of the Settlement each of whom wished to pursue different investment policies and objectives."
• "I acted for a client in the sale of the business of a Company including an initial payment on Completion, weekly payments in accordance with the collection of book debts for the period of 3 months following completion and the remaining deferred consideration payable across 6 equal and quarterly instalments, the first of which being payable 3 months following completion." 

 

What is one legal myth that you’d love to dispel?

"The notion that modern Commercial Agreements need to include complicated legal terms that instead will simply raise further questions from clients who already find the transaction both complicated and stressful."

 

 What made you want to work in your sector?

"I found that the technical skills required in order to excel as a corporate solicitor were more complex than in other areas. This, together with the variety of work that comes with the wide range of businesses we act for, made me feel that I would always be learning something new throughout my career."
